Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WebRise Inc. ("WebRise", "we", "us", or "our") governing your access to and use of the WebRise CRM platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Maintain the security of your password and accept all risks of unauthorized access.
  • Notify us immediately of any breach of security or unauthorized use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

4. Subscription and Payment

Certain aspects of the Services are provided on a subscription basis. By selecting a subscription plan, you agree to:

  • Pay all fees associated with your selected plan.
  • Provide valid payment information and authorize us to charge your payment method.
  • Accept that subscriptions automatically renew unless canceled before the renewal date.
  • Understand that fees are non-refundable except as required by law or as explicitly stated in our refund policy.

We may change subscription fees at any time. Any fee changes will apply at the start of the next subscription period.

5. Free Trials

We may offer free trials of paid subscription plans. At the end of the trial period, you will be automatically charged the applicable subscription fee unless you cancel before the trial ends. We reserve the right to modify or cancel free trial offers at any time.

6. User Content and Data

You retain all rights to the data and content you input into the Services ("User Content"). By using the Services, you grant us a limited license to use, store, and process your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that:

  • You own or have the necessary rights to all User Content you submit.
  • Your User Content does not violate any third-party rights, including intellectual property and privacy rights.
  • Your User Content complies with all applicable laws and regulations.

7. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or governmental order.
  • Infringe upon the rights of others, including intellectual property and privacy rights.
  • Transmit any viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Engage in any activity that could damage, disable, overburden, or impair the Services.
  • Harvest or collect email addresses or other contact information for unsolicited communications.

8. Intellectual Property

The Services and their entire contents, features, and functionality are owned by WebRise, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms.

9. Termination

We may terminate or suspend your access to all or part of the Services, with or without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, all licenses and rights granted to you in these Terms will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WEBRISE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. Our total liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the amount you paid to us during the twelve (12) months immediately preceding the event giving rise to liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless WebRise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14. Changes to These Terms

We may revise these Terms at any time by updating this page. The updated Terms will be effective as of the date posted. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
